Terms & Conditions

1. Overview
These Terms & Conditions ("Terms") govern your access to and use of BidNexus ("the Platform"), an AI-powered marketplace connecting commercial facilities managers with service vendors. By using the Platform, you agree to be bound by these Terms.
2. Account Registration
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
3. User Roles
The Platform supports two primary user roles: Facilities Managers who post Request for Quotes (RFQs) for commercial services, and Service Vendors who submit bids and quotes in response to those RFQs.
4. RFQs and Bids
Facilities Managers may post RFQs describing work needed at their commercial properties. Vendors may review and submit bids for any RFQ they are qualified to complete. BidNexus does not guarantee the accuracy of RFQ details or the validity of any bid. All agreements resulting from matches made on the Platform are solely between the Facilities Manager and the Vendor.
5. Prohibited Conduct
Users may not: (a) post false, misleading, or fraudulent RFQs or bids; (b) harass, abuse, or discriminate against other users; (c) attempt to circumvent the Platform to transact outside of it in order to avoid fees; (d) upload malicious code or interfere with Platform operations; (e) use automated means to scrape or access the Platform without authorization.
6. Payments and Fees
BidNexus may charge subscription fees or transaction-based fees as described in our Pricing page. All fees are non-refundable unless otherwise stated. Failure to pay fees may result in account suspension or termination.
7. Intellectual Property
All content, branding, software, and materials provided by BidNexus are the property of BidNexus and protected by applicable intellectual property laws. Users retain ownership of content they upload (e.g., RFQ details, vendor profiles) but grant BidNexus a limited license to display and process such content for Platform purposes.
8. Disclaimers
The Platform is provided "as is" without warranties of any kind. BidNexus does not vet vendors or guarantee the quality, accuracy, or timeliness of any bid or service. Users are responsible for conducting their own due diligence before entering into any contract.
9. Limitation of Liability
To the maximum extent permitted by law, BidNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform or any transaction between users.
10. Termination
We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may also delete your account at any time through your account settings.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Your continued use after changes take effect constitutes acceptance of the revised Terms.
